Withthedevelopmentofitsbusiness,PartyAwouldliketoinvitePartyB’slawyertoassumethepostoftheformer’spermanentLegalCounsel(“PLC”).PartyAandPartyBhaveenteredintothefollowingagreement(“Agreement”)tobeobservedbybothcontractualparties.

*ThePLCisobligedtovisitPartyA’sofficeatleastonceamonth.Withrespecttothe
above-mentionedservices,PartyAmaycontactthePLCfromtimetotimebytelephone,faxore-mail.IncasePartyAwouldliketomeetwiththePLCinperson,anappointmentshouldbemade24hourspriortosuchmeetingandsuchmeetinggenerallyshallbeheldatPartyB’soffice;
*Thetotallengthofworkingtimeofthefore-mentionedservices(extra-judiciallegalaffairsonly;
samehereinafter)shallbenotmorethanhours.Duringthetermofvalidityofthis
engagement,anyagency/advocacyinlawsuitsorarbitrationsbythePLCoranyover-timeservicefromthePLCshouldbeinitiatedthroughPartyA’sadditionaltrustformalitiestoPartyBandbechargedfavorablyat20%discountbasedonthestateregulationsgoverningcounselfeeorPartyB’sChargingClauses&paymentconditions,whicheverisapplicable.
II.
UponreceiptoffullcashpaymentorremittanceofthePLCannualfee,PartyBshallcommenceperformingitsduties&obligationsunderArticleIofthisAgreement.IncasepartyAfailstopayortopaythefullamount,PartyBisentitledtoterminatetheAgreementandcorrespondinglyclaimdamagesarisingfromPartyA’sdefault.
TheincidentalexpensesshouldbepaiduptogetherwiththePLCannualfee,fromwhichthePLCshalltakeresponsibilityforsurplusordeficit.ThePLCisalsoentitledtorequestreimbursementwithvouchers/invoicesforout-citytravelingexpensesarisingfromthePLC’shandlingofmattersentrustedorengagedbyPartyA.
III.PartyAisobligedtoofferPartyBtruestatements/descriptionsoffactsnecessaryforthePLCto
performitscontractualduties&obligationsandtoproviderelevantdocuments,materials&otheressentialassistanceuponPartyB’srequest.ThelegalliabilitiesincurredfromPartyA’smisrepresentations,falsificationsorothernegligentactsshallbeundertakenbyPartyAitself.PartyAisalsoobligedtoindemnifyPartyBfortheclaims/damages/lossesarisingfromPartyA’sfore-mentionednegligentacts.Insuchacase,PartyBisconcurrentlyentitledtoterminatetheAgreementandthePLCannualfeepaidundertheAgreementbyPartyAshallnotbereimbursed.
IV.ThePLCisobligedtoperformearnestlyitsduties&obligationswithinthescopeofPartyA’s
authorizationsandstatelegalprovisions.IncasePartyBterminatestheAgreementwithoutvalidcausesorPartyA’slawfulrights/interestsisprejudicedowingtothePLC’snegligentacts,thePLCannualfeeshallbereimbursedinfulltoPartyA.
V.AnytransferoformodificationtotheAgreementshallnotbepermittedwithoutpriormutualwritten
consentbetweenPartyAandPartyB.
VI.IncasethetermofvalidityoftheengagementofPLCexpires,theAgreementshallautomatically
extendforanotherone-yeartermunlessawrittennotificationofterminationisissuedbyeitherpartyandthePLCannualfeeshallthereuponbeincreasedby5%whileotherclausesshallremainunchanged,andsoonandsoforth.
VII.Theconstrue,interpretation&jurisdictionoftheAgreementissubjecttothelawofthePRC.Anyand
alldispute(s)inconnectionwithorarisingfromtheperformanceoftheAgreementshallfirstbesettledamicablythroughfriendlyconsultations&negotiationsbetweenPartyAandPartyB.Ifthisfails,thesaiddisputeshallthenbesubmittedtotheXiamenArbitrationCommissionforafinalfinding.

Arbitration:Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledthroughfriendlynegotiation,incasenosettlementcanbereachedthroughnegotiations,thecaseunderdisputeshallbesubmittedforarbitrationtotheChinaEconomicandTradeArbitrationCommissionBeijinginaccordancewiththeprovisionalrulesofprocedurespromulgatedbythesaidarbitrationcommission.Theawardofthearbitrationshallbefinalandbindinguponbothpartiesforrevisingthedecision.Thearbitrationfeeshallbebornebythelosingpart.
13.不可抗力：由于人力不可抗拒事故，而卖方交货迟延或不能交货时，责任不在卖方，但卖方应立即将事故通知买方，并于事故发生后十四天内将事故发生地政府主管机关出具的事故证明用空邮寄交卖方为证。
